Terms of service.

Parties and scope

This agreement is between Logicues, a sole proprietorship based in Akola, Maharashtra, India ("Logicues", "we", "us"), and the clinic or hospital that registers for an account ("Facility", "you"). It applies to both products Logicues operates under this single legal entity:

• Parchi — for solo, single-doctor OPD clinics, available on self-serve signup with live online billing.
• ClinicOps — for hospitals and larger, multi-department facilities, currently offered on a waitlist / contact-us basis; pricing and onboarding for ClinicOps are agreed separately with each facility and are not governed by the self-serve billing terms in this document.

These Terms do not create any direct contractual relationship between Logicues and a Facility's patients or staff. A Facility's staff use the platform as authorised users of the Facility's account, under the Facility's own responsibility.

What Parchi and ClinicOps do

Parchi and ClinicOps are clinic and hospital operating systems: appointment booking (including over WhatsApp), queue and front-desk management, structured consultations, prescriptions, a patient portal, billing, and related administrative tooling. Logicues provides this as software — we do not practise medicine, and nothing in the platform substitutes for the clinical judgement of the Facility's own registered medical practitioners. Accounts and eligibility

• The Facility signing up must be a legitimate, operating healthcare provider (a clinic, hospital, or equivalent), entitled under applicable law to deliver the services it offers through the platform.
• The person creating the account must have authority to bind the Facility to these Terms.
• The Facility is responsible for every account and staff login created under it — issuing accounts only to its own staff, deactivating them when staff leave, and keeping login credentials confidential. Credentials must not be shared between individuals or across facilities.
• The Facility must promptly notify Logicues at support@logicues.com of any suspected unauthorised access to its account.
• The Facility is responsible for the accuracy of the registration, staff, and medical-practitioner details it enters, including any medical registration numbers used to verify prescriber identity.

Trial, pricing and renewal

For Parchi, new Facilities get a 30-day free trial — no card is charged during this period. Once the trial ends and the Facility chooses to continue on a paid plan, published pricing is ₹799/month or ₹7,999/year, billed in advance and renewing automatically each period unless cancelled beforehand. As part of the current "Founding Solo Beta" offer, a Facility's price is locked for its first 12 paid months from the date it starts paying. Current pricing, plan limits and any one-time fees (for example, an assisted-onboarding fee that may apply to certain billing options) are as published on the Parchi pricing page at the time of signup; that page, not this document, is the source of the exact current numbers.

For ClinicOps, there is no self-serve billing today — pricing and payment terms are agreed directly with each Facility and set out in a separate order or agreement; nothing in this section applies until such terms are agreed.

Acceptable use

The Facility agrees not to, and not to permit its staff to:

• Use the platform for any unlawful purpose, or in a way that violates applicable healthcare, telecom, consumer-protection, or data-protection law.
• Send WhatsApp or other messages through the platform to anyone who has not consented to receive them, ignore opt-out ("STOP") requests, or otherwise use the platform's messaging tools in a way that breaches Meta's Business Messaging Policy or applicable Indian telecom and consent law (including unsolicited commercial communication rules). Logicues provides opt-out handling and consent logging as tooling; the Facility remains the sender responsible for how it messages its own patients.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the platform, except to the extent applicable law expressly permits this despite the restriction.
• Share staff login credentials, circumvent access controls, or attempt to access another Facility's data.
• Interfere with or disrupt the platform's operation, or attempt to probe, scan, or test its security without Logicues' prior written consent.
• Resell, sublicense, or provide the platform to third parties as if it were the Facility's own product, without Logicues' prior written consent.

Clinical and data responsibilities

• Accuracy of data entered: the Facility is responsible for the accuracy and completeness of clinical data, prescriptions, and patient records it or its staff enter into the platform.
• Regulatory compliance: the Facility and its registered medical practitioners remain fully responsible for their clinical decisions, diagnoses, prescriptions, and compliance with applicable medical council regulations (including NMC/state medical council rules) and drug-prescribing law. The platform is a record-keeping and workflow tool; it does not make clinical decisions on the Facility's behalf.
• Patient consent: the Facility is responsible for obtaining and maintaining any consent required from its patients — including for treatment, data collection, and WhatsApp or other communication — consistent with our Privacy Policy and applicable law.

Data ownership and processing

As between Logicues and the Facility, the Facility owns the data it and its patients put into the platform, and is the data fiduciary/controller for its patients' personal data. Logicues acts as a processor, providing the software that stores and processes that data on the Facility's behalf, as described in our Privacy Policy. Each Facility's data is kept isolated from every other Facility's data.

On termination of an account, the Facility may export its data, and data is otherwise handled — retained, deleted, or exported — according to the retention terms in the Privacy Policy and applicable law (including record-retention duties that may apply to the Facility as a healthcare provider).

Intellectual property

Logicues owns all right, title, and interest in and to the Parchi and ClinicOps platforms, including their software, design, and branding, excluding the Facility's own data. Subject to these Terms and payment of applicable fees, Logicues grants the Facility a non-exclusive, non-transferable, revocable licence to use the platform for its own healthcare operations for the term of the agreement. No other rights are granted.

Service availability

Logicues makes reasonable efforts to keep the platform available and to maintain the performance and security controls described in our security practices page. As an early-stage product, Logicues does not currently commit to a guaranteed uptime service-level agreement (SLA), and the platform is provided on a reasonable-efforts, "as available" basis. Planned maintenance and unplanned downtime may occur.

Termination

• The Facility may terminate at any time by cancelling its subscription; cancellation stops future renewals but does not refund the current paid period (see Refund Policy).
• Logicues may suspend or terminate a Facility's account for material breach of these Terms — including non-payment, unlawful use, or abuse of WhatsApp messaging tools — with notice where reasonably practicable, or without notice where necessary to protect other Facilities, patients, or the platform.
• On termination, data is retained, exported, or deleted according to the Privacy Policy's retention terms and any legal record-keeping duties that apply to the Facility.

Clinical disclaimer, warranties and liability

Except as expressly stated in these Terms, the platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by applicable law.

To the extent permitted by applicable law: Logicues' aggregate liability arising out of or relating to these Terms or the platform, for any Facility, is limited to the total fees actually paid by that Facility to Logicues in the 12 months preceding the event giving rise to the claim. Logicues is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, even if advised of the possibility of such damages. These limitations do not apply to liability arising from breach of confidentiality or data-protection obligations, or from Logicues' willful misconduct or gross negligence.

Governing law and disputes

These Terms are governed by the laws of India. Courts at Akola, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to applicable law.

Changes to these terms

We may update these Terms from time to time, for example to reflect new features, legal requirements, or operational changes. The "Last updated" date at the top of this page will change whenever we do. For material changes, we will also notify the Facility by email at its registered contact address before the change takes effect. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.
